Terms and conditions of sale

1. General

The website of the company Artiris SAS, located at https://compoz-parfum.com/ (the “Site”), is an e-commerce platform created, developed, and managed by Artiris SAS (“Artiris” or “we”), a French company with its registered office at 15 Rue Ruhmkorff – 75017 Paris, registered with the RCS of Paris under number 815 224 688.

These General Sales Conditions (the “GSC”) create a contract between the customer (“Customer”, “you” or “your”) and Artiris SAS. The Customer is an end consumer, a natural person (not a company) who purchases Compoz products (Diffuser, capsules) and accessories (the “Products”) for any use other than professional use, resale or distribution. All purchases for professional use, resale or distribution are strictly forbidden, and any person who does not fall within the definition of Customer should contact the Artiris SAS customer service department at the following address: contact@compoz-parfum.com for further information about the Compoz Parfum selective distribution network and its authorized resellers.

2. Orders

2.1 The Products are offered for sale within the limits of available stocks.

2.2 Artiris retains ownership of the Products delivered until full payment of the invoices and reserves the right to suspend delivery in case of late payment until full regularization of the debtor’s account.

2.3 Artiris reserves the right to refuse an order or to demand advance payment in case of overdue invoices or insolvency.

2.4 The transfer of risks related to the Products to the Customer occurs upon receipt of the Products by the Customer at the address indicated in the Order Confirmation.

3. Right of return (withdrawal)

3.1 Regardless of the distribution channel used, you have a period of 14 days from the receipt of the Product to notify us of your wish to return it if it does not suit you, and then 14 days from this notification to return it to us, without having to indicate a reason. To exercise this right of return, you can use the withdrawal form available on www.compoz-parfum.com or make any unambiguous declaration indicating your intention to return the Product.

3.2 For reasons of hygiene and safety, only unused Products will be taken back, correctly protected, in their intact original packaging, in perfect condition, suitable for resale, accompanied by any accessories, operating instructions, and documentation, as well as the corresponding invoice. These conditions are cumulative.

3.3 Subject to the above, Artiris will refund you by bank transfer the price of the returned Products and the invoiced shipping costs (based on standard delivery costs), if already paid, within 14 working days following the date on which you exercised your right of return. The return shipping costs will be at your expense.

3.4 The provisions of this Article 3 do not apply to products made to measure at the request of the Customer.

4. Prices, invoicing, and payment

4.1 The prices invoiced, all taxes included, excluding delivery costs, corresponding to the Products you order, are those in force on the day of purchase when made in-store or on the day of order transmission in the case of distance selling. Invoices are payable in cash. No discount will be granted for early payment.

4.2 In case of non-payment of the amounts due on their due date, a conventional late payment indemnity of 10% of the amount due will be required, with a minimum of €15 per claim. This indemnity cannot exceed the sum of €40 regardless of the total amount outstanding.

4.3 In certain cases, and notably if you subscribe to the Subscription Service, you may receive a fixed sum (hereinafter the “Customer Credit”) on your Compoz Customer Account. The Customer Credit is linked to your Compoz Customer Account and can be used at any time but within the limit of two (2) years following the deposit on the Compoz Customer Account. Any Customer Credit not used after this deadline will be permanently lost and will not be refunded or compensated in any form. The Customer Credit is nominative, non-transferable, non-refundable, and cannot be exchanged in any form. This specific payment method by Customer Credit takes priority over other payment methods. Therefore, the Client Credit will be prioritized and utilized first, up to the total amount, to settle your orders.

4.4 Payment in instalments with Alma: if you pay for your order in instalments, you accept Alma’s general customer conditions, as well as Alma’s special conditions for Artiris SAS customers.

5. Delivery costs

Delivery costs in metropolitan France are those in force on the day of transmission of the order as they appear on the rates applicable on that date. Unless otherwise indicated, they are at your expense and are included separately in the invoice. In the event of delivery outside metropolitan France, you, as the importer, are responsible for the payment of all customs duties, taxes or other charges imposed on arrival of the Product.

6. Terms of delivery

All orders will normally be delivered on the delivery date indicated in the Order Confirmation. Delivery dates are approximate and may vary in the event of an event beyond Artiris’ control, such as the carrier responsible for delivery or the location of the Customer. If Artiris is unable to meet the estimated delivery date, we will contact the Client to propose another approximate delivery date. Furthermore, if delivery is not made within thirty (30) days from the delivery date confirmed at the time of the order, the Customer is entitled to cancel the order and will be refunded the amount of the cancelled order.

7. Product verification

It is your responsibility to check the number and condition of the Products upon receipt and, in the event of damage or missing items, to make the usual reservations with the carrier and to inform Artiris within 2 days of receipt (keeping the invoice and the signed delivery note). Artiris will then provide you with identical replacement Products or reimburse you.

8. Maintenance and after-sales service

You are responsible for the routine maintenance of the machine and its cleaning. In view of the technical specifications of the machines and for safety reasons, repairs may only be carried out by the manufacturer’s service department in accordance with the conditions of the individual machine. Consequently, the manufacturer and Artiris shall not be held liable for any modification, repair, addition and/or replacement of spare parts on the machine by anyone other than the after-sales service. The expected availability of spare parts for a repairable machine is 5 years from its date of manufacture (information mentioned on the identification plate).

9. Warranty of the machines

The machines are guaranteed by the manufacturer according to the conditions transmitted at the time of purchase, without prejudice however to the legal guarantee for hidden defects as provided for in articles 1641 to 1649 of the Civil Code, which stipulates in particular that “The seller is bound by the guarantee on account of hidden defects in the thing sold which render it unfit for the use for which it is intended, or which so diminish this use that the buyer would not have acquired it, or would only have paid a lower price for it, if he had known about them. The action resulting from redhibitory defects must be brought by the purchaser within two years from the discovery of the defect. “The seller is also subject to the legal guarantee of conformity provided for in Articles L. 217-4, L. 217-5 and L. 217-12 of the French Consumer Code, which stipulates in particular that “The seller shall deliver goods in conformity with the contract and shall be liable for any lack of conformity existing at the time of delivery. To be in conformity with the contract, the goods must be fit for the use usually expected of similar goods. Any action resulting from the lack of conformity shall be time-barred two years after delivery of the goods”.

You may decide to implement the legal guarantee of conformity. You then have 2 years from the date of delivery of your new property to take action. You can choose between repairing or replacing your good, subject to the cost conditions set out in Article L.217-9 of the French Consumer Code.

You are exempt from having to provide proof of the existence of the lack of conformity of the good during the 24 months following the delivery of the good. Except for second-hand goods. The legal guarantee of conformity applies independently of any commercial guarantee that may have been granted.

You may also decide to implement the guarantee against hidden defects of the item sold within the meaning of article 1641 of the Civil Code. In this case, you can choose between cancelling the sale or reducing the price in accordance with article 1644 of the Civil Code.

10. Environment

As a distributor, Artiris is obliged to collect an eco-participation from its customers, which will be paid to a state-approved eco-organism, in order to finance the collection, depollution and recycling of Waste Electronic and Electronic Equipment (WEEE). Consequently, for any purchase of a new electronic or electrical household appliance from Artiris, you will contribute to the payment of an eco-participation, the amount of which is indicated on the product sheet of the appliance concerned.

11. Data protection guarantee

11.1 Artiris will not transfer your personal data or make them available to third parties in any form whatsoever, with the exception of Artiris Group companies, its subcontractors and suppliers of satisfaction surveys who will use them in a timely and confidential manner. These data are processed by Artiris in strict compliance with applicable laws and its personal data protection policy available by clicking HERE.

11.2 In accordance with the French Data Protection Act of 6 January 1978, you have the right to access, rectify and delete any personal data concerning you by writing to Artiris at the address below: Artiris SAS – Service Protection des données personnelles – 15, Rue Ruhmkorff, 75017 Paris.

12. Force majeure

The liability of Artiris is expressly excluded, and a breach of its obligations or a violation of these GTC cannot be invoked against Artiris, for losses, damages or delays suffered by the Client resulting from causes beyond the control of Artiris, such as, but not limited to, force majeure, war, invasion, insurrection, riot, civil or military war, flood, fire, natural disasters, explosions, government actions, terrorist threats and acts, national emergencies, revolutions, epidemics, lockouts, strikes and other worker protests (whether related to Artiris workers or not), constraints or delays affecting the carrier, inability or delay in obtaining adequate and suitable materials, telecommunication breakdowns or power failures.

13. Accessibility and evolution of the general conditions

Artiris reserves the right to modify these general terms and conditions at any time by publishing a new version that will be applicable to any order placed after its first publication on the www.compoz-parfum.com website.

14. Litigation, applicable law and jurisdiction

14.1 These Conditions, and more generally the Contract formed between the parties, are governed by French law.

14.2 All disputes that may arise between the Parties as a result of the validity, interpretation or performance of the Contract shall be subject to the exclusive jurisdiction of the Commercial Court of Paris.

Subscription terms & conditions

1. General provisions

1.1 These terms and conditions govern your relationship with Artiris SAS, a French company whose registered office is located at 15, Rue Ruhmkorff – 75017 Paris, registered in the Paris Trade and Companies Register under no. 815 224 688 (hereinafter ” Compoz Paris”) concerning:

(i) the subscription service for Compoz Paris brand capsules (hereinafter the “Capsule Subscription Service“); and

(ii) the subscription service for Compoz Paris brand capsules with the rental of a capsule composer (hereinafter the ” Capsule Subscription & Diffuser Rental Service “).

1.2 Subscription Services are available in mainland France and Corsica.

1.3 By choosing to subscribe to one of the Subscription Services with commitment, you expressly accept these conditions, including the commitment period, which is set at a minimum of twelve (12) months (hereinafter the ” Commitment Term “).

1.4 En choisissant de souscrire à l’un des Services d’Abonnement Capsules Compoz Paris sans engagement, le Service d’Abonnement Capsules Compoz Paris durera autant de temps que vous choisirez de payer vos Forfaits Mensuels. 1.5 These terms and conditions apply in addition to the Compoz Paris general terms and conditions of sale, which are available at the following address: https://compoz-parfum.com/en/terms-conditions-sale. In the event of any inconsistency between these two documents, the provisions of these General Terms and Conditions of the Compoz Paris Subscription Service shall prevail.

 

2. Cost of the Subscription Service

2.1 Subscription Services have a fixed cost that will be billed monthly (hereinafter the ” Monthly Fee “) and debited directly from your bank account, depending on the offer chosen.

2.2 The first Monthly Package must be paid on the day of subscribing to the Subscription Service. Subsequent Monthly Packages will be debited on the same day of each month (plus or minus three (3) days), in accordance with the bank details specified during subscription, the authenticity of which you will certify, and you must ensure that the bank account is sufficiently funded on the day of debits. It is understood that in case of modification of bank details during the Commitment Period, you undertake to notify Compoz of any changes to ensure the validity and execution of debits on the correct date.

 

3. Content of the Subscription Service

3.1 To subscribe to one of the Subscription Services, you must first register your customer data and provide, in particular:

(i) for individuals: name, first name, date and place of birth, copy of a valid identity document; and

(ii) for legal entities: corporate name, registered office address, name and first name of the person authorized to represent the company in accordance with the company’s articles of association, and a copy of the up-to-date Kbis extract.

Subscription to the Subscription Service implies full acceptance of paying the Monthly Package corresponding to the selected Subscription Service every month.

3.2 In return for the payment of Monthly Packages, you can regularly choose Compoz Paris capsules using your Customer Credit, as described in Article 4 hereof.

3.3 If you subscribe to the Capsule & Compositeur Rental Subscription Service, throughout the Commitment Period, the Capsule & Diffuser Rental Subscription Service will be linked to a unique Compoz Paris Customer Account, and you will not be able to subsequently change the model of composer you selected during subscription and which was made available to you.

3.4 Furthermore, depending on the chosen formula under the Capsule Subscription Service, a discount will be applied to the pre-tax price of the Compoz composer, in case of full or installment purchase of the latter at the time of subscription to the Capsule Subscription Service.

 

4. Compoz Paris Customer credit

4.1 Every month, you will receive a fixed amount credited to your Compoz Paris Customer Account (Hereinafter the ” Customer Credit “) which will allow you to select the capsules you wish to purchase on the website. https://compoz-parfum.com (hereinafter the ” Website “) and/or in one of the boutiques of the Compoz Paris network in mainland France and Corsica.

4.2 The Customer Credit is linked to your Compoz Paris Customer Account and can be used at any time, by presenting your identity card or by logging in with your credentials, throughout the duration of the subscribed Subscription Service. Any unused Customer Credit after this deadline will be permanently lost and will not be refunded. However, the customer can use the Customer Credit for the purchase of new capsules for two (2) months after the deadline. You can check your Customer Credit balance by logging into your Compoz Paris Customer Account on the Website.

4.3 The Customer Credit will be deposited into your Compoz Paris Customer Account within four (4) working days after payment of your Monthly Package. The Customer Credit is nominative, non-transferable, non-refundable, and cannot be exchanged in any form. This specific payment method by Customer Credit takes precedence over other payment methods. Thus, the Customer Credit will be prioritized and used, up to its total amount, to pay for your orders.

 

5 Withdrawal period

5.1 Individuals have the option to change their minds and notify us of their wish to cancel their subscription to the selected Subscription Service, without giving any reason, within fourteen (14) days from the receipt of the order following your subscription to the Subscription Service. Legal entities do not have a right of withdrawal, unless otherwise provided by law.

5.2 To exercise this right, you can inform Compoz Paris by email at the address abonnement@compoz-parfum.com. You will need to make an unambiguous statement indicating your intention to withdraw from the Subscription Service within this same period by either sending an email or visiting one of our Compoz Paris stores.

5.3 If you have subscribed to the Capsule & Diffuser Rental Subscription Service, you will also need to return the Compoz Paris composer subject to rental at your expense and without delay, in perfect working condition, to the following postal address: 41 rue du Château, 92100 Boulogne-Billancourt, France.

5.4 Only unused Compoz Paris products, correctly protected, in their intact and unopened original packaging, in perfect condition, suitable for resale, accompanied by any accessories, operating instructions, documentation, and the corresponding invoice will be accepted for return, as a matter of hygiene and safety. These conditions are cumulative.

5.5 If you have subscribed to the Capsule & Compositeur Rental Subscription Service in a partner store, you will also need to return the Compoz Paris compositeur at your expense and in accordance with the rules of the partner store, by necessarily sending us the return slip validated by the store, as well as the invoice for the composer and the invoice for the Subscription Service.

5.6 In case of failure to fulfill the obligation to return, the customer will be subject to the provisions of Article 10.1 below.

5.7 Subject to the above, the refund will be made by bank transfer to the same bank account provided for the payment of the Subscription Service.

 

6. Duration

6.1 If you have subscribed to the Compoz Paris Capsule Subscription Service without commitment, the Compoz Capsule Subscription Service will last as long as you choose to pay your Monthly Packages. You can terminate it at any time, without any penalty, subject to a notice period of thirty (30) calendar days.

6.2 If you have subscribed to the Subscription Service with commitment, it will last according to the chosen formula. At the end of the Commitment Period, and unless you express otherwise to Compoz at least three (3) months before its term, the Subscription Service will be automatically renewed under the same conditions. Notice must be communicated to Compoz by email at abonnement@compoz-parfum.comor by visiting one of our Compoz Paris stores.

6.3 As part of the subscription to a Capsule & Diffuser Rental Subscription Service, the Compoz Paris compositeur subject to rental must be returned in perfect working condition within ten (10) days following the effective end date of the subscription, at your expense, directly to the following postal address: 41 rue du Château, 92100 Boulogne-Billancourt, France.

6.4 In case of failure to fulfill the obligation to return, the customer will be subject to the provisions of Article Article 10.1 below.

 

7. Change of Subscription Service

7.1 The customer may choose to upgrade from one Subscription Service to another and within the same subscription service, choose a different subscription plan.

7.2 In the case of an upgrade from a non-committed Subscription Service to one of the Subscription Services with commitment, the customer agrees to subscribe to the new chosen Subscription Service under the conditions of the Subscription Services with commitment as described in these general conditions for the Compoz Paris Subscription Service. Consequently, the customer commits for the Commitment Period and will have the option to acquire a composer under the same discount conditions as those mentioned in Article 3.4 above.

7.3 Any Customer who has subscribed to a Subscription Service with a commitment and wishes to subscribe to another formula with a commitment, will be committed to the Subscription Service chosen for a new commitment period. The Customer may purchase a Composer under the same discount conditions as those set out inArticle 3.4 above.

 

8. Early termination of the Subscription Service with commitment

 

8.1 If you wish to terminate your subscription to the Subscription Service before the end of the Commitment Period, you should contact us by email at abonnement@compoz-parfum.comor by visiting one of our Compoz Paris stores.

8.2 In case of early termination request for your Subscription Service with commitment, before having paid all the Monthly Packages in full, you will be liable for a termination indemnity equal to 80% of the total amount remaining due under the Subscription Service, from the month during which you notified us of your wish to terminate said subscription, until the end of the Commitment Period (hereinafter the ” Termination Indemnity “).

8.3 Furthermore, in case of early termination of your Subscription Service with commitment, while benefiting from a discount when purchasing a compositeur, you will be liable for 80% of the total amount of the discount you benefited from, in addition to the total remaining installments to be paid in the case of installment purchase of the Compoz compositeur (hereinafter thePenalty Payment “).

8.4 Moreover, in case of early termination of your Capsule & Compositeur Rental Subscription Service, the customer agrees to return the Compoz Paris compositeur subject to rental at his/her expense, within ten (10) days following the effective end date of the subscription, to the following postal address: 41 rue du Château, 92100 Boulogne-Billancourt (France).

8.5 No reimbursement of Monthly Packages already paid will be made once the Subscription Service has been terminated. If any Customer Credit remains after payment of the Termination Fee and the Penalty Fee, the customer will have the option of using the remaining balance during its period of validity (under the conditions ofArticle 4 hereof).

8.6 This possibility of early termination does not affect your right to exercise your right of withdrawal under the conditions specified inArticle 5 hereof.

 

9. Early termination of the Subscription Service

9.1 In case of non-payment of the Monthly Package when due, Compoz Paris reserves the right to block access to your Compoz Customer Account and your Customer Credit until payment has been regularized. If payment has not occurred more than thirty (30) calendar days after its due date, Compoz Paris reserves the right to terminate your Subscription Service automatically and charge you, if applicable, the Termination Indemnity and Penalty Indemnity provided that at the time of termination, the Monthly Packages had not been regularly and fully paid. Any unused Customer Credit after this deadline will be permanently lost and will not be refunded or compensated in any form.

9.2 Furthermore, in the event that the Customer has purchased a Compoz Paris compositeur in installments, in case of breach of the terms and conditions provided for under the credit purchase. Compoz Paris reserves the right to block access to his/her Compoz Paris Customer Account and Customer Credit until payment has been regularized. If payment has not occurred more than thirty (30) calendar days after its due date, Compoz Paris reserves the right to terminate his/her Subscription Service automatically and charge him/her the Penalty Indemnity, and if applicable, the Termination Indemnity provided that at the time of termination, the Monthly Packages had not been regularly and fully paid. Any unused Customer Credit after this deadline will be permanently lost and will not be refunded or compensated in any form.

 

10. Restitution

10.1 If the Customer does not return the Compoz Paris compositeur or returns it in poor working condition, Compoz will charge the Customer the public selling price of the relevant Compoz Compositeur model in effect on the day of the order.

 

11. Accessibility and changes to the general terms and conditions

11.1Compoz Paris reserves the right to modify these general conditions at any time by publishing a new version that will apply to any order placed after its first posting on the following website: https://compoz-parfum.com/.

 

12. Applicable law and jurisdiction

12.1 These general conditions, and more generally the contract formed between the parties, are governed by French law.

12.2 Any disputes that may arise between the parties due to the validity, interpretation, or execution of these general conditions and/or a contract will be subject to the exclusive jurisdiction of the Commercial Court of Paris.
