1. Acceptance and Modification of Conditions

1.1 Your access and use of the websites (“Web Sites”) of Artiris SAS (“Artiris SAS”), including all affiliated companies of Artiris SAS, are governed by these terms of use (“Terms of Use”). By accessing, browsing, and using our Sites, you acknowledge that you have read, understood, and unconditionally accepted the Terms of Use, which we may modify from time to time.

1.2 If we decide to modify our Terms of Use, we upload the new version on our Sites. We therefore invite you to regularly consult these Terms of Use to be aware of any modifications.

2. Copyright and Intellectual Property

2.1 The content of our Sites, including but not limited to texts, trademarks, logos, graphics, photographs, videos, sounds, music, layouts, designs, know-how, technologies, products, and processes, is the property of Artiris SAS or its affiliated companies or is used with the permission of the owners and is therefore protected by their copyright, trademark, patent, and any other intellectual or industrial property rights recognized by applicable laws.

2.2 Except as provided in Article 3 below, no element of our Sites may be interpreted as granting a license or right to use an element presented on these same Sites.

3. Use of the Sites

3.1 You are authorized to download, display, or print the content of our Sites only for personal, non-commercial purposes, by memorizing and reproducing any copyright notice or other intellectual property notice included in the information or any other material you download. Any other use, including reproduction, modification, distribution, transmission, or dissemination of elements of the Sites, in whole or in part and by any means, is strictly prohibited without the prior written consent of Artiris SAS.

3.2 Artiris SAS does not guarantee that your use of an element presented on its Sites does not infringe on any third-party rights.

4. Account Creation

4.1 Access to certain features of the Compoz™ website or mobile application – available on the AppleStore and Google Play – may require the creation of an account. You may be asked for personal information to proceed with the creation of your account.

5. Non-Confidential Information

5.1 All data and information that may personally identify you transmitted via the Internet to our Sites are protected and processed in accordance with our Privacy Policy. We invite you to carefully read this Privacy Policy before providing us with your personally identifiable data and information.

5.2 Any other information or material you communicate via the Internet to Artiris SAS, by email or any other means, including dates, questions, comments, suggestions, ideas, graphics, etc., will not be treated as confidential or proprietary. Everything you transmit or upload will become the property of Artiris SAS and may be used without restriction for any purpose, including but not limited to reproduction, disclosure, transmission, publication, distribution, and uploading. Specifically, Artiris SAS will be free to use any ideas, concepts, know-how, or techniques included in your communications sent to its Sites for any purpose, including but not limited to development, manufacturing, advertising, and marketing of products using such information. Any use of such information communicated by yourself will remain without compensation for yourself or for a third party.

5.3 By transmitting information, you warrant that the material contained in the transmission is your property, is not defamatory, and that its use by Artiris SAS will not violate any third-party rights. Artiris SAS is not obliged to use the information transmitted.

6. Disclaimer of Warranties

6.1 Without limiting the scope of Article 6 below, any material, information, and everything you find on the Sites are provided “as is,” based on their availability, and without any warranty of any kind, express or implied, including, among others, the implied warranty of merchantability or fitness for a particular purpose.

6.2 Artiris SAS does not guarantee that its Sites or their contents meet your expectations, are uninterrupted, timely, secure, or free of errors.

6.3 All jurisdictions not recognizing certain limitations of warranty, it is possible that several of the above exclusions do not apply to you.

6.4 Any advice or information obtained from Artiris SAS in writing or orally during the use of the services available on the Sites does not give rise to any warranty not expressly mentioned in these Terms of Use.

7. Limitation of Liability

7.1 You access, use, and navigate our Sites at your own risk.

7.2 You acknowledge and agree that, to the extent permitted by applicable law, Artiris SAS, its affiliated companies, or the companies that participated in the creation, production, or delivery of the Sites, cannot be held responsible for direct, indirect, incidental damages, or the repair of moral damage, costs, losses, decreased turnover or profits, or any liabilities of any kind (even if the occurrence of such damage was known or could have been foreseen by Artiris SAS) arising from the use or, on the contrary, the inability to use the Sites or their contents.

7.3 The downloading of materials or their acquisition in any other way during the use of our Sites is at your own risk. Artiris SAS assumes no responsibility for any damage or virus that may affect your computer or computer equipment following access or use of the Sites or downloading elements from the Sites or for illicit interventions in computer systems.

7.4 Artiris SAS reserves the right to interrupt or suspend all or some of the functions of its Sites. Artiris SAS accepts no liability of any kind for any interruption or suspension of all or some of the functions of its Sites resulting from actions or omissions of Artiris SAS or a third party.

8. Information Modification

The content of our Sites may include inaccuracies or errors. Artiris SAS reserves the right, at any time and without notice, to modify, correct, or improve said content but cannot be held responsible for these errors.

9. Product/Service Availability

Our Sites may include global information about Artiris SAS products and services, not all of which will be available in all locations. A reference to a product or service of Artiris SAS on its Sites does not mean that it will be available in your region.

10. Links

10.1 As a service to our visitors, our Sites may contain hyperlinks to other websites that are neither operated nor controlled by Artiris SAS. Artiris SAS cannot be considered responsible for these sites and declines all responsibility for their content, legality, accuracy, or function.

10.2 Any creation of hyperlinks to our Sites is prohibited without the prior written consent of Artiris SAS.

11. Indemnification

11.1 To the extent permitted by law, you agree to indemnify and release Artiris SAS and its subsidiaries from any liability for all claims, liabilities, losses, expenses, and damages resulting from (i) your breach of these terms, (ii) your breach of any intellectual property, (iii) the harmful use of the Service by a third party made possible following a failure on your part to take reasonable measures to protect the confidentiality of your account information.

12. Miscellaneous

12.1 These Terms of Use constitute the entire agreement between Artiris SAS and yourself regarding access and use of the Sites and their contents. Any other provision issued by Artiris SAS to settle its relations with you concerning, in particular, a service or the purchase of a product, completes the Terms of Use; in the event of a contradiction between them, priority is given to the other provisions.

12.2 The fact that Artiris SAS tolerates your failure to comply with any of the obligations provided for in these Terms of Use or does not enforce any right that is recognized to it by them or by law cannot be interpreted in any way as a waiver on its part to avail itself of its rights.

12.3 In the event that one of the provisions of these Terms of Use is considered illegal by a provision of legal or regulatory order, present or future, or by a judicial decision, said provision will be considered as unwritten, all the other provisions of these Terms of Use retaining mandatory force between yourself and Artiris SAS.

12.4 The title of the articles of these Terms of Use is for indicative purposes only and cannot alter or modify the terms in any way.

13. Applicable Law

13.1 These Terms, and more generally the Agreement formed between the parties, are governed by French law.

13.2 Any disputes that may arise between the Parties due to the validity, interpretation, or execution of the Agreement will be subject to the exclusive jurisdiction of the Commercial Court of Paris.
