TERMS OF USE OF THE WEBSITE
1. Acceptance and modification of conditions
1.1 Your access and use of the websites (“Web Sites”) of Artiris SAS (“Artiris SAS”), including all Artiris SAS affiliates, are governed by these terms and conditions of use (“Terms of Use”). By accessing, browsing and using our Sites, you acknowledge that you have read, understood and accept without reservation the Terms of Use, as amended by us from time to time.
1.2 If we decide to change our Terms of Use, we will post the new version on our Sites. We therefore invite you to regularly consult these Terms of Use in order to be aware of any changes.
2. Copyright and intellectual property
2.1 The content of our Sites and in particular, but not exclusively, the texts, trademarks, logos, graphics, photographs, videos, sounds, music, layouts, designs, know-how, technologies, products and processes, are the property of Artiris SAS or its affiliates or are used with the authorisation of the owners and as such are protected by their copyright, trademark, patent and any other intellectual or industrial property rights granted to them in accordance with the laws in force.
2.2 Except as provided in Article 3 below, nothing on our Sites may be interpreted as granting a licence or a right to use an item presented on these same Sites.
3. Use of the Sites
3.1 You may download, display or print the content of our Sites only for your personal, non-commercial use, retaining and reproducing any copyright or other intellectual property notices included in the information or other material you download. Any other use, including the reproduction, modification, distribution, transmission or broadcast of elements of the Sites, in whole or in part and by any means, is strictly prohibited without the prior written consent of Artiris SAS.
3.2 Artiris SAS does not guarantee that your use of an element presented on its Sites does not infringe any rights of a third party.
4. Creation of an account
4.1 Access to certain features of the Compoz™ website or mobile application – available on AppleStore and Google Play – may require the creation of an account. You may be asked for personal information in order to proceed with the creation of your account.
5. Information considered non-confidential
5.1 All personally identifiable data and information that you transmit via the Internet to our Sites is protected and treated in accordance with our Privacy Policy. Please read this Privacy Policy carefully before entrusting us with your personally identifiable data and information.
5.2 Any other information or material that you communicate via the Internet to Artiris SAS, by e-mail or any other means, including dates, questions, comments, suggestions, ideas, graphics etc., will not be treated as confidential or proprietary. Anything you transmit or upload will become the property of Artiris SAS and may be used without restriction for any purpose including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and uploading. Specifically, Artiris SAS shall be free to use any ideas, concepts, know-how or techniques contained in any communication you send to its Sites for any purpose whatsoever, including, but not limited to, developing, manufacturing, advertising and marketing products using such information. Any use of such information provided by you will be without compensation to you or any third party.
5.3 By transmitting information, you warrant that the material transmitted is your property, that it is not defamatory and that its use by Artiris SAS will not violate any third party’s rights. Artiris SAS shall not be obliged to use the transmitted information.
6. Disclaimer of warranties
6.1 Without limiting the scope of Article 6 below, all material, information and materials on the Sites are provided “as is”, subject to availability, and without warranty of any kind, either express or implied, including, without limitation, the implied warranty of merchantability or fitness for a particular purpose.
6.2 Artiris SAS does not guarantee that its Websites or their contents meet your expectations, whether they are uninterrupted, timely, secure or free of errors.
6.3 Because not all jurisdictions recognize certain limitations of warranty, it is possible that many of the above exclusions may not apply to you.
6.4 Any advice or information obtained from Artiris SAS in written or oral form by or during the use of the services made available on the Sites does not give rise to any warranty not expressly mentioned in these Terms of Use.
7. Limitation of liability
7.1 You access, use and browse our Sites at your own risk.
7.2 You acknowledge and agree that, to the fullest extent permitted by applicable law, Artiris SAS, its affiliates or the companies that participated in the creation, production or delivery of the Sites, shall not be liable for any direct, indirect, incidental or consequential damages or compensation for moral injury, costs, losses, reduction in turnover or profits, or liabilities of any kind whatsoever (even if the occurrence of such damage was known or could have been foreseen by Artiris SAS), which may arise from the use or inability to use the sites or their contents.
7.3 You are solely responsible for downloading materials or obtaining them in any other way when using our Sites. Artiris SAS assumes no liability for damage or viruses that may affect your computer or computer equipment as a result of accessing or using the Sites or downloading material from the Sites or for illegal interventions in computer systems.
7.4 Artiris SAS reserves the right to interrupt or suspend all or some of the functions of its Sites. Artiris SA accepts no liability whatsoever for any interruption or suspension of all or some of the functions of its Sites resulting from actions or omissions of Artiris SAS or a third party.
8. Modification of information
8.1. The content of our Sites may include inaccuracies or errors. Artiris SAS reserves the right, at any time and without prior notice, to modify, correct or improve the said content but cannot be held responsible for these errors.
9. Availability of products / services
Our Sites may include worldwide information about Artiris SAS products and services, not all of which will be available in all locations. A reference to an Artiris SAS product or service in its Sites does not mean that it will be available in your area.
10. Links
As a service to our visitors, our Sites may contain hypertext links to other websites that are not operated or controlled by Artiris SAS. Artiris SAS cannot be held responsible for these sites and declines all responsibility for their content, legality, accuracy or function.
10.2 Any creation of hyperlinks to our Sites is prohibited without the prior written consent of Artiris SAS.
11. Indemnification
11.1 To the fullest extent permitted by law, you agree to indemnify and hold Artiris SAS and its subsidiaries harmless from and against any and all claims, liabilities, losses, costs and damages arising from (i) your breach of these terms, (ii) your infringement of any intellectual property, (iii) the harmful use of the Service by any third party resulting from your failure to take reasonable steps to protect the confidentiality of your account information.
12. Miscellaneous
12.1 These Terms of Use constitute the entire agreement between Artiris SAS and you with respect to access and use of the Sites and their contents. Any other provision issued by Artiris SAS to regulate its relations with you, in particular relating to a service or the purchase of a product, supplements the Terms of Use; in the event of contradiction between them, priority is given to the other provisions.
12.2 The fact that Artiris SAS tolerates your failure to comply with any of your obligations under the Terms of Use, or that Artiris SAS does not enforce any of its rights under the Terms of Use or under the law, shall not be construed as a waiver by Artiris SAS of its right to enforce its rights.
12.3 In the event that one of the provisions of the Terms of Use is considered illegal by a legal or regulatory provision, present or future, or by a court decision, the said provision shall be considered to be unwritten and all other provisions of the Terms of Use shall remain binding between you and Artiris SAS.
12.4 The titles of the articles of the Terms of Use are only indicative and may not alter or modify the terms in any way whatsoever.
13. Applicable Law
13.1 These Conditions, and more generally the Contract formed between the parties, are governed by French law.
13.2 All disputes that may arise between the Parties as a result of the validity, interpretation or performance of the Contract shall be subject to the exclusive jurisdiction of the Commercial Court of Paris.
